While Warner Bros. Discovery (WBD) shareholders greenlit the monumental $111 billion sale to Paramount Skydance, they drew a hard line at executive excess. In a decisive non-binding vote, investors overwhelmingly rejected a proposed $887 million “golden parachute” for CEO David Zaslav.
The package, which included a controversial $335 million tax reimbursement, faced fierce opposition from major proxy firms. Critics highlighted the stark disconnect between the requested windfall and WBD’s 60% stock decline since 2022. The rejection underscores a growing shift in corporate governance, where shareholders are no longer willing to subsidize personal tax liabilities for leadership—especially when the “pay-for-performance” math fails to add up.
Though the board retains the legal authority to override the vote, the public rebuke creates a significant optics crisis. With the merger slated to close in late 2026, the board now faces intense pressure to restructure the payout or risk further alienating the capital backing this industry-defining consolidation.
