On a recent Price of Business show, Host Kevin Price interviewed Gene Townley.

The SBA has implemented strict new standards for business acquisitions to ensure buyers are legally and operationally ready on day one. For any change-of-ownership loan, lenders must now verify that the buyer personally holds all state and local licenses required to run the specific business before the loan is finalized. This move eliminates the period of transition or “grace” sometimes expected during a handoff.

Furthermore, the SBA is actively disqualifying deals involving “passive” ownership. If a buyer lacks the professional credentials required for a regulated industry—such as medicine, law, or engineering—they can no longer bypass this by hiring a licensed manager to handle the technical side. Under these new enforcement priorities, such arrangements may result in the company being labeled an “ineligible passive company.” This change effectively bars unqualified investors from using SBA backings to acquire specialized professional firms, requiring the borrower to be the primary, licensed operator of the enterprise.
